1. Agreement to Terms

These Terms & Conditions (“Terms”) form a binding agreement between you and Ayremin LLC (“Ayremin,” “we,” “us,” or “our”) and govern your access to and use of our website, admin tools, APIs, and related services (collectively, the “Services”). By creating an account, accessing, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

2. The Services

Ayremin provides a real estate brokerage management platform that may include, without limitation: listing management, agent and brokerage profiles, contract workflows and document storage, vendor directories, buyer-need tracking, marketing tools, an AI assistant, APIs, and related tools. Features, availability, and limits may change over time.

3. Eligibility and Accounts

To use the Services you must be at least 18 years old and capable of forming a binding contract. If you use the Services on behalf of a brokerage or other organization, you represent that you are authorized to bind that organization to these Terms, and “you” refers to both you individually and that organization.

You agree to provide accurate, current, and complete information, to keep it updated, and to safeguard your credentials. You are responsible for activity that occurs under your account. Notify us promptly at our contact form if you suspect unauthorized access or a security breach.

4. Subscriptions, Fees, and Billing

Some Services are offered on a paid subscription basis. Applicable fees, billing frequency, and plan features are presented at sign-up or in a separate order form. Unless otherwise stated, fees are exclusive of applicable taxes. You authorize us (or our payment processor) to charge your chosen payment method on a recurring basis until you cancel. Except as required by law, fees are non-refundable. We may change pricing on reasonable prior notice, effective at the start of your next billing cycle.

5. Acceptable Use

You agree not to, and not to permit others to:

• Violate any law, regulation, or third-party right, including intellectual property, privacy, and fair-housing laws.
• Upload or transmit content that is unlawful, defamatory, discriminatory, obscene, infringing, or misleading.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Probe, scan, or test the vulnerability of the Services; attempt to bypass authentication or security; or access any account or data without authorization.
• Introduce viruses, malware, or other harmful code; use bots, scrapers, or automated means to access the Services except as expressly permitted by us.
• Reverse engineer, decompile, or disassemble the Services, except to the extent such restriction is prohibited by law.
• Resell, sublicense, or make the Services available to any third party except as expressly permitted.
• Use the Services to send unsolicited commercial communications in violation of applicable law.

6. Your Content

You retain ownership of content you submit to the Services, including listings, images, documents, contract data, and other materials (“Your Content”). You grant Ayremin a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting and display), transmit, and display Your Content solely to operate, provide, secure, and improve the Services for you. You represent and warrant that you have all rights necessary to grant this license and that Your Content does not violate any law or third-party right.

You are responsible for Your Content, including its accuracy, legality, and any consents required to collect and use it (for example, consents from clients, consumers, or photographers).

7. Real Estate Obligations

The Services are tools; they are not legal, tax, accounting, or brokerage advice. You are solely responsible for complying with all laws and rules applicable to your real estate activities, including:

• Federal and state Fair Housing laws and equal-opportunity requirements.
• Real estate licensing laws, agency disclosure requirements, and broker supervision obligations in each jurisdiction where you operate.
• MLS rules, IDX/VOW rules, and the license terms applicable to any MLS or third-party data you import, display, or export.
• RESPA, TILA, CAN-SPAM, TCPA, state consumer-protection laws, and other applicable federal and state regulations.
• Retention, supervision, and production of transaction records.

Ayremin does not act as a real estate broker, title agent, escrow agent, or lender and does not participate in transactions between you and your clients.

8. AI Features

The Services may include AI-powered features, such as an integrated AI assistant. AI output may be inaccurate, incomplete, or unsuitable for a given purpose. You are responsible for reviewing AI output before relying on it, and you must not submit information through AI features that you are not permitted to share with a third-party processor. Do not rely on AI output as a substitute for professional judgment or legal, tax, financial, or real estate advice.

9. Our Intellectual Property

The Services, including all software, designs, text, graphics, and trademarks, are owned by Ayremin or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services during your subscription. No other rights are granted, whether by implication, estoppel, or otherwise.

10. Feedback

If you send us suggestions or feedback about the Services, we may use them without restriction or obligation to you.

11. Third-Party Services and Links

The Services may integrate with or link to third-party services, websites, or content (for example, MLS feeds, mapping, analytics, or AI providers). Third-party services are governed by their own terms and privacy policies. We are not responsible for them and do not endorse their content.

12. Copyright and DMCA

We respond to valid notices of alleged copyright infringement under the Digital Millennium Copyright Act (17 U.S.C. §512). If you believe material accessible through the Services infringes your copyright, please send a written notice to our designated agent including: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and information reasonably sufficient to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that use of the material is not authorized; and (f) a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act on the owner’s behalf.

Send DMCA notices through our contact form. We may, in appropriate circumstances, disable or terminate accounts of users who are repeat infringers.

13. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and share personal information.

14. Suspension and Termination

You may terminate your account at any time by contacting us or by using any account-closure feature we provide. We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, for operational reasons, or as required by law.

After termination, we will make Your Content available for export for a reasonable period (typically 30 days), after which we may delete it in the ordinary course of business. Provisions that by their nature should survive termination (including Sections 6, 9, 12, 15, 16, 17, 18, 19, 20, and 22) will survive.

15. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AYREMIN AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE ACCURATE, COMPLETE, OR RELIABLE. YOU USE THE SERVICES AT YOUR OWN RISK.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AYREMIN OR ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL THE AGGREGATE LIABILITY OF AYREMIN AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS FOR ANY CLAIMS RELATING TO THE SERVICES OR THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

17. Indemnification

You agree to indemnify, defend, and hold harmless Ayremin and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

18. Dispute Resolution

Informal resolution. Before filing a claim, you and Ayremin agree to try to resolve the dispute informally. Send a written notice describing the dispute to us through our contact form. If the dispute is not resolved within 30 days of receipt, either party may proceed as set out below.

No class actions. To the extent permitted by law, you and Ayremin each waive any right to bring or participate in a class, collective, or representative action. Claims may be brought only in an individual capacity.

19. Governing Law and Venue

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. Subject to Section 18, the state and federal courts located in Maricopa County, Arizona have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and each party consents to personal jurisdiction and venue in those courts.

20. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by updating the “Last updated” date and, where appropriate, by email or in-product notice). Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

21. Miscellaneous

These Terms (together with any order form and our Privacy Policy) are the entire agreement between you and Ayremin regarding the Services and supersede any prior agreements. If any provision is held invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them without restriction. Notices to you may be sent through the Services or to the email associated with your account.
